1. THE PARTIES

The “Service Provider” is Zenwax Media Pvt Ltd, a company incorporated under the laws of India, with its registered office in [Delhi/Pitampura/Laxmi Nagar]. The “Client” is the individual(s) or entity booking our Cinema, Artistry (Photography), and Scenography (Floral/Decor) services.

2. SCOPE OF SERVICES

Zenwax Media Pvt Ltd provides high-end wedding production services, including but not limited to:

• Cinema: Wedding films, trailers, and social media edits.

• Artistry: Candid and traditional photography and album design.

• Scenography: Floral design, set production, and venue decoration.

3. BOOKING AND PAYMENTS

• Advance/Booking Fee: A non-refundable advance of [e.g., 50%] is required to secure the dates. The booking is not confirmed until this payment is received.

• Payment Schedule: [E.g., 40% due on the first day of the event, and the remaining 10% due upon delivery of the final digital gallery].

• GST: All prices quoted are exclusive of 18% Goods and Services Tax (GST), which will be added to the final invoice as per Government of India mandates.

• Price Revisions: Any changes to the scope of work (additional hours, extra floral installations) after the contract is signed will be billed additionally.

4. CREATIVE JUDGMENT AND ARTISTIC STYLE

• The Client acknowledges that they have reviewed Zenwax Media’s portfolio and are familiar with our artistic style.

• Artistry & Cinema: Zenwax Media Pvt Ltd retains ultimate creative control over the editing, color grading, and selection of images/clips. Requests for “raw footage” or “unprocessed photos” are generally not entertained as they do not represent our finished product.

• Scenography: Floral designs are subject to seasonal availability. In the event that specific flowers are unavailable, Zenwax Media reserves the right to substitute them with flowers of equal or higher value that maintain the intended aesthetic.

5. COPYRIGHT AND USAGE RIGHTS

• Ownership: Zenwax Media Pvt Ltd retains the copyright to all photographs and film footage captured.

• Client License: The Client is granted a Personal Use License. You may share, print, and distribute the media for non-commercial purposes.

• Agency Promotion: Unless a “Privacy Fee” is agreed upon in writing, Zenwax Media Pvt Ltd reserves the right to use any images or footage for promotional purposes, including our website, social media, and industry competitions.

6. CLIENT RESPONSIBILITIES

• Meals & Access: The Client must provide standard meals for the Zenwax crew (usually [X] members) during all full-day events.

• Permits: The Client is responsible for obtaining all necessary permissions and paying any “camera fees” or “vendor entry fees” required by the venue or local authorities.

• Lighting: While we use professional equipment, the quality of the final visuals is significantly impacted by the venue’s ambient lighting.

7. LIMITATION OF LIABILITY

• Equipment Failure: In the highly unlikely event of total equipment failure or data loss, Zenwax Media’s liability is limited to a full refund of the amount paid for that specific service.

• Force Majeure: Zenwax Media is not liable for delays or failures caused by “Acts of God” (heavy rain, floods), pandemics, government restrictions, or civil unrest.

• Floral Longevity: Once the floral decor is installed, Zenwax Media is not responsible for wilting due to extreme weather conditions (heat/humidity) at outdoor venues.

8. CANCELLATION AND REFUNDS

Please refer to our dedicated Refund and Cancellation Policy page. In brief, the initial booking fee is non-refundable as it covers the cost of turning away other potential clients for your reserved date.

9. GOVERNING LAW AND JURISDICTION

These terms are governed by the laws of India. Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
